1. Acceptance of Terms

By downloading, installing, or using LocalGPT ("the Software"), you agree to these Terms of Service. If you do not agree, do not use the Software.

2. Description of Service

LocalGPT is a hybrid AI desktop application that allows you to run AI models locally on your device and/or connect to cloud AI providers via your own API keys. The Software provides tools for chat, image generation, video generation, audio processing, AI agents, file indexing, and web search.

3. License

LocalGPT is released under the MIT License. You are free to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the Software, subject to the conditions of the MIT License.

4. User Responsibilities

  • You are responsible for the content you generate using LocalGPT.
  • You must comply with all applicable laws and regulations when using the Software.
  • You are responsible for managing and securing your own API keys for cloud AI providers.
  • You must not use the Software to generate harmful, illegal, or abusive content.
  • You are responsible for ensuring you have the right to index and process any files you use with the file indexing feature.

5. Cloud AI Providers

When you connect cloud AI providers (OpenAI, Anthropic, Google, Mistral, etc.), you are subject to each provider's terms of service and usage policies. LocalGPT is not responsible for charges incurred through your API keys or for the behavior of third-party AI services.

6. Pay-As-You-Go Model

LocalGPT itself is free. Cloud AI usage is billed directly by the respective providers through your API keys. LocalGPT does not charge any fees, markups, or subscriptions. You are solely responsible for monitoring and managing your cloud API spending.

7. Local AI Models

Local AI models downloaded through LocalGPT are subject to their own licenses (e.g., Llama Community License, Apache 2.0, etc.). You are responsible for reviewing and complying with the license terms of each model you download and use.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. AI-generated outputs may be inaccurate, biased, or inappropriate. You should always review AI-generated content before use.

9. Limitation of Liability

IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE. This includes any damages resulting from AI-generated content, API charges, or data loss.

10. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page. Continued use of the Software after changes constitutes acceptance of the new terms.
